Dieses Dokument ist ein Entwurf. Es wird vor Aufnahme des Live-Betriebs anwaltlich geprüft und kann sich dabei noch ändern. Bis dahin gilt es als vorläufige Grundlage der Zusammenarbeit; die geprüfte Fassung wird an dieser Stelle veröffentlicht und dir als neue Version zur Zustimmung vorgelegt.
Zwischen dem Betreiber der Plattform PopUp (nachfolgend „PopUp“ oder „wir“) und dir als Promoter.
1.1 Im Promoter-Programm bewirbst du Events, die auf PopUp Tickets verkaufen. Dafür bekommst du pro Event einen persönlichen Rabatt-Code. Wer über deinen Code ein Ticket kauft, zahlt weniger — und du bekommst eine Provision.
1.2 Du wirst durch die Teilnahme nicht Mitarbeiter, Vertreter oder Arbeitnehmer von PopUp. Es entsteht kein Arbeits- oder Dienstverhältnis und keine Gesellschaft. Du handelst selbständig und auf eigene Rechnung.
1.3 Veranstalter der beworbenen Events sind die jeweiligen Veranstalter, nicht PopUp. Für Durchführung, Absage, Einlass und Erstattung ist der Veranstalter verantwortlich (siehe Veranstalter-Bedingungen).
2.1 Du bewirbst dich über popupevent.org/promoter. Die Teilnahme beginnt erst mit unserer ausdrücklichen Freigabe; du bekommst sie per E-Mail.
2.2 Ein Anspruch auf Aufnahme besteht nicht. Wir entscheiden nach freiem Ermessen und müssen eine Ablehnung nicht begründen. Nach einer Ablehnung kannst du dich später erneut bewerben.
2.3 Mindestalter 18 Jahre. Mit der Bewerbung bestätigst du, dass du volljährig bist.
2.4 Deine Angaben in der Bewerbung (Name, Instagram-Handle, Reichweite) müssen richtig sein. Der angegebene Account muss dir gehören.
2.5 Dein Zugang ist persönlich. Gib deine Zugangsdaten nicht weiter und lass niemanden über deinen Zugang arbeiten.
3.1 Für jedes teilnehmende Event erzeugst du dir im Dashboard einen eigenen Code. Der Code gilt nur für dieses eine Event.
3.2 Wie hoch der Rabatt für deine Community und deine Provision ausfallen, legt der jeweilige Veranstalter je Event fest. Beide Prozentsätze stehen vor dem Beitritt in deinem Dashboard und gelten für die über diesen Code getätigten Käufe.
3.3 Der Veranstalter kann seine Teilnahme am Programm jederzeit beenden. Bereits erzeugte Codes bleiben davon grundsätzlich unberührt; einzelne Codes kann der Veranstalter jedoch deaktivieren. Ein deaktivierter Code ist im Shop nicht mehr einlösbar — dein Dashboard zeigt das an.
3.4 Wir können die technische Verfügbarkeit des Programms, einzelner Events oder einzelner Codes einschränken, wenn dies aus technischen, rechtlichen oder Sicherheitsgründen nötig ist.
4.1 Du bekommst eine Provision in Höhe des im Dashboard ausgewiesenen Prozentsatzes, berechnet vom Listenpreis des Tickets (also vom Preis vor deinem Rabatt).
4.2 Die Provision entsteht nur für tatsächlich verkaufte und bezahlte Tickets, die über deinen Code gekauft wurden. Für Gratis-Tickets, abgebrochene Käufe oder Käufe ohne deinen Code entsteht keine Provision.
4.3 Storno, Erstattung, Rückbuchung oder Event-Absage reduzieren deine Provision entsprechend — auch nachträglich. Wurde eine bereits ausgezahlte Provision davon erfasst, verrechnen wir den Betrag mit deinem nächsten Guthaben.
4.4 Maßgeblich für die Abrechnung sind die in unserem System erfassten Daten. Die aktuellen Zahlen (Verkäufe, offene und ausgezahlte Provision) siehst du jederzeit in deinem Dashboard.
5.1 Die Provision wird gesammelt ausgezahlt, in der Regel monatlich.
5.2 Ausgezahlt wird ab einem offenen Guthaben von 10 €. Darunter bleibt der Betrag stehen und wandert in die nächste Auszahlung.
5.3 Die Auszahlung geht auf die Daten, die du im Dashboard hinterlegst. Erforderlich sind vollständiger Name, Anschrift und IBAN bzw. PayPal-Adresse. Ohne vollständige Auszahlungsdaten erfolgt keine Auszahlung — dein Anspruch bleibt bestehen, die Überweisung wartet aber auf die Daten.
5.4 Du bist dafür verantwortlich, dass die hinterlegten Daten richtig und aktuell sind. Kosten, die durch falsche Angaben entstehen (z. B. Rückläufer-Gebühren), können wir von deinem Guthaben abziehen.
5.5 Beträge verstehen sich als Bruttobetrag inklusive einer allfälligen Umsatzsteuer. Bist du umsatzsteuerpflichtig, teile uns das mit.
6.1 Ein Post oder eine Story mit deinem Code IST Werbung. Du bist verpflichtet, sie klar und deutlich als solche zu kennzeichnen — etwa mit „Werbung“ oder „Anzeige“ gut sichtbar am Anfang des Beitrags, nicht versteckt zwischen Hashtags. Das folgt aus dem Kennzeichnungsgebot des § 6 ECG und dem Verbot getarnter Werbung nach dem UWG.
6.2 Du machst keine irreführenden Angaben: keine erfundenen Verfügbarkeiten („nur noch 3 Tickets“), keine falschen Preisvergleiche, keine Zusagen zu Line-up, Einlass oder Ablauf, die der Veranstalter nicht gemacht hat.
6.3 Dein Code ist für deine eigene Community bestimmt. Keine Spam- oder Massenverbreitung: kein Einstellen auf Gutschein-/Rabattportalen, keine Massen-DMs, keine ungefragten Mails, keine Kommentar-Spam-Aktionen, kein Kauf von Traffic oder Suchanzeigen auf Marken- oder Eventnamen.
6.4 Du hältst dich an die Regeln der Plattformen, auf denen du postest (z. B. Instagram), und an geltendes Recht — insbesondere Jugendschutz bei Events mit Alkoholausschank.
6.5 Du trittst nicht so auf, als wärst du PopUp oder der Veranstalter. Logos und Marken von PopUp darfst du nur zur Bewerbung der teilnehmenden Events unverändert verwenden.
7.1 Ein Verstoß führt zur Sperre deines Zugangs. Bei nachgewiesenem Missbrauch verfällt die darauf entfallende Provision; bereits ausgezahlte Beträge aus missbräuchlichen Käufen können wir zurückfordern.
8.1 Wir können deinen Zugang bei Verstößen gegen diese Bedingungen sperren. Mit der Sperre werden deine Codes deaktiviert und du kannst dich nicht mehr anmelden.
8.2 Rechtmäßig verdiente, offene Provision aus echten Verkäufen wird nach Prüfung ausgezahlt — eine Sperre ist kein Grund, dir bereits verdientes Geld vorzuenthalten. Nur die Provision aus nachgewiesenem Missbrauch verfällt (Punkt 7.1).
8.3 Du kannst deine Teilnahme jederzeit und ohne Frist beenden — eine formlose E-Mail an support@popupevent.org genügt. Offene, rechtmäßig verdiente Provision wird auch dann noch ausgezahlt.
8.4 Wir können das Programm insgesamt einstellen. Bereits entstandene Provisionsansprüche bleiben davon unberührt.
9.1 Für die Versteuerung deiner Provisionen bist du selbst verantwortlich. Provisionen sind steuerpflichtige Einkünfte; ob und wie du sie erklären musst (Einkommensteuer, gegebenenfalls Umsatzsteuer, gegebenenfalls Gewerbeanmeldung), hängt von deinen persönlichen Verhältnissen ab.
9.2 Wir behalten keine Steuern oder Sozialversicherungsbeiträge ein und führen keine ab.
9.3 Als Grundlage für deine Steuererklärung stellen wir dir im Dashboard eine Übersicht deiner Verkäufe und Auszahlungen bereit. Diese Übersicht ist keine Steuerberatung.
10.1 Welche Daten wir für das Promoter-Programm verarbeiten, zu welchem Zweck und wie lange, steht im Abschnitt „Promoter-Programm“ unserer Datenschutzerklärung.
10.2 Du kannst die Löschung deines Promoter-Kontos jederzeit per E-Mail an support@popupevent.org verlangen. Abrechnungsdaten unterliegen gesetzlichen Aufbewahrungsfristen (§ 132 BAO, 7 Jahre) und werden bis dahin nur eingeschränkt weiterverarbeitet.
11.1 Wir können diese Bedingungen ändern. Änderungen kündigen wir dir vorher per E-Mail an die im Konto hinterlegte Adresse an.
11.2 Widersprichst du nicht bis zum genannten Wirksamkeitsdatum bzw. nutzt du das Programm danach weiter, gilt die neue Fassung als angenommen. Widersprichst du, endet deine Teilnahme mit dem Wirksamkeitsdatum; bereits verdiente Provision wird ausgezahlt.
11.3 Für laufende, bereits geteilte Codes gelten die zum Zeitpunkt des Beitritts zugesagten Prozentsätze weiter.
12.1 Es gilt österreichisches Recht unter Ausschluss der Verweisungsnormen des Internationalen Privatrechts.
12.2 Ausschließlicher Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit diesen Bedingungen ist das sachlich zuständige Gericht am Sitz des Plattformbetreibers (Wien, Österreich), soweit dem keine zwingenden gesetzlichen Bestimmungen entgegenstehen. Bist du Verbraucher, bleiben die zwingenden Zuständigkeits- und Schutzvorschriften deines Wohnsitzstaates (insbesondere nach dem KSchG) unberührt.
12.3 Sollte eine Bestimmung unwirksam sein, bleibt der Rest wirksam. An die Stelle der unwirksamen Bestimmung tritt eine Regelung, die dem wirtschaftlichen Zweck am nächsten kommt.
Zustimmung: Diesen Bedingungen wird elektronisch im Rahmen der Bewerbung auf popupevent.org/promoter zugestimmt. Gespeichert werden die Versionskennung (promoter-terms-v1) und der Zeitpunkt der Zustimmung. Dieses Dokument bleibt unter dieser Adresse abrufbar.

This document is a draft. It will be reviewed by a lawyer before live operations begin and may still change. Until then it serves as the provisional basis of our cooperation; the reviewed version will be published at this address and presented to you as a new version for acceptance.
Between the operator of the PopUp platform (“PopUp” or “we”) and you as a promoter.
1.1 In the promoter programme you advertise events that sell tickets through PopUp. For each event you get a personal discount code. Anyone buying a ticket with your code pays less — and you earn a commission.
1.2 Taking part does not make you an employee, agent or staff member of PopUp. No employment relationship and no partnership is created. You act independently and on your own account.
1.3 The events you advertise are run by the respective organizers, not by PopUp. The organizer is responsible for running the event, cancellations, admission and refunds (see the organizer terms).
2.1 You apply at popupevent.org/promoter. Participation only begins with our explicit approval, which you receive by email.
2.2 There is no right to be accepted. We decide at our own discretion and do not have to give reasons for a rejection. After a rejection you may apply again later.
2.3 Minimum age 18. By applying you confirm that you are of legal age.
2.4 The details in your application (name, Instagram handle, reach) must be accurate, and the account you state must be yours.
2.5 Your account is personal. Do not share your credentials and do not let anyone else work through your account.
3.1 For each participating event you create your own code in the dashboard. The code applies to that one event only.
3.2 The discount for your community and your commission are set per event by the respective organizer. Both percentages are shown in your dashboard before you join and apply to purchases made with that code.
3.3 An organizer may stop participating in the programme at any time. Codes already created generally remain unaffected; the organizer can, however, deactivate individual codes. A deactivated code can no longer be redeemed in the shop — your dashboard shows this.
3.4 We may restrict the technical availability of the programme, of individual events or of individual codes where this is necessary for technical, legal or security reasons.
4.1 You receive a commission at the percentage shown in your dashboard, calculated on the list price of the ticket (i.e. the price before your discount).
4.2 Commission only arises for tickets actually sold and paid for using your code. No commission arises for free tickets, abandoned purchases, or purchases without your code.
4.3 Cancellations, refunds, chargebacks or a cancelled event reduce your commission accordingly — including retroactively. If commission already paid out is affected, we offset the amount against your next balance.
4.4 The data recorded in our system is decisive for accounting. You can see the current figures (sales, open and paid commission) in your dashboard at any time.
5.1 Commission is paid out in bulk, as a rule monthly.
5.2 Payouts are made from an open balance of €10. Below that, the amount stays and rolls into the next payout.
5.3 Payment goes to the details you store in the dashboard. Required are your full name, address and IBAN or PayPal address. Without complete payout details there is no payout — your claim remains, but the transfer waits for the data.
5.4 You are responsible for keeping those details correct and up to date. Costs caused by incorrect details (e.g. return fees) may be deducted from your balance.
5.5 Amounts are gross amounts including any VAT. If you are liable for VAT, please tell us.
6.1 A post or story containing your code IS advertising. You must label it clearly as such — for example with “Werbung” / “Anzeige” (ad) prominently at the start of the post, not hidden among hashtags. This follows from the disclosure requirement in § 6 of the Austrian E-Commerce Act (ECG) and the prohibition of hidden advertising under the Austrian Unfair Competition Act (UWG).
6.2 You must not make misleading claims: no invented scarcity (“only 3 tickets left”), no false price comparisons, no promises about line-up, admission or schedule that the organizer has not made.
6.3 Your code is meant for your own community. No spam or mass distribution: no posting on voucher/discount portals, no mass DMs, no unsolicited emails, no comment spam, no buying traffic or search ads on brand or event names.
6.4 You comply with the rules of the platforms you post on (e.g. Instagram) and with applicable law — in particular the protection of minors at events serving alcohol.
6.5 Do not present yourself as PopUp or as the organizer. You may use PopUp logos and trademarks only unchanged and only to advertise participating events.
7.1 A breach leads to suspension of your account. Where abuse is established, the commission attributable to it is forfeited; amounts already paid out for abusive purchases may be reclaimed.
8.1 We may suspend your account if you breach these terms. On suspension your codes are deactivated and you can no longer sign in.
8.2 Open commission legitimately earned on genuine sales is paid out after review — a suspension is not a reason to withhold money you have already earned. Only commission from established abuse is forfeited (point 7.1).
8.3 You may end your participation at any time and without notice — an informal email to support@popupevent.org is enough. Open, legitimately earned commission is still paid out.
8.4 We may discontinue the programme as a whole. Commission claims already accrued remain unaffected.
9.1 You are responsible for taxing your commission yourself. Commission is taxable income; whether and how you must declare it (income tax, possibly VAT, possibly a trade registration) depends on your personal circumstances.
9.2 We do not withhold or remit any taxes or social security contributions.
9.3 As a basis for your tax return we provide an overview of your sales and payouts in the dashboard. That overview is not tax advice.
10.1 Which data we process for the promoter programme, for what purpose and for how long is set out in the “Promoter programme” section of our privacy policy.
10.2 You can request deletion of your promoter account at any time by emailing support@popupevent.org. Accounting data is subject to statutory retention periods (§ 132 of the Austrian Federal Fiscal Code, 7 years) and is only processed on a restricted basis until then.
11.1 We may amend these terms. We will announce changes in advance by email to the address stored in your account.
11.2 If you do not object by the stated effective date, or continue to use the programme after it, the new version is deemed accepted. If you object, your participation ends on the effective date; commission already earned is paid out.
11.3 For codes already created and shared, the percentages promised at the time you joined continue to apply.
12.1 Austrian law applies, excluding its conflict-of-law rules.
12.2 The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is the competent court at the seat of the platform operator (Vienna, Austria), unless mandatory statutory provisions provide otherwise. If you are a consumer, the mandatory jurisdiction and protective provisions of your country of residence (in particular under the Austrian Consumer Protection Act, KSchG) remain unaffected.
12.3 Should any provision be invalid, the remainder stays in force. The invalid provision is replaced by one that comes closest to its economic purpose.
Acceptance: these terms are accepted electronically as part of the application at popupevent.org/promoter. The version identifier (promoter-terms-v1) and the time of acceptance are stored. This document remains available at this address.
